End User License Agreement
Effective Date: May 2025
1. Agreement to Terms
This End User License Agreement ("EULA") is a legal agreement between you (the "End User") and Cerebra ("Company") for the use of CyberSphere and its related services (collectively, the "Software"). By accessing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not access or use the Software.
2. License Grant
Subject to the terms of this EULA and your employer's subscription agreement with Cerebra, Cerebra grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your employer's internal business purposes related to cybersecurity awareness, compliance, and training.
3. Restrictions
You may not:
- Copy, modify, or distribute the Software or its documentation.
- Reverse engineer, decompile, or disassemble the Software.
- Sublicense, sell, resell, transfer, assign, or otherwise dispose of the Software.
- Use the Software to build a competitive product or service.
- Remove or alter any proprietary notices or labels on the Software.
- Use the Software in violation of any applicable laws or regulations, including Saudi PDPL and NCA requirements.
4. Intellectual Property
The Software and all copies thereof are proprietary to Cerebra and title thereto remains in Cerebra. All rights in the Software not specifically granted in this EULA are reserved to Cerebra. You acknowledge that no title to the intellectual property in the Software is transferred to you.
5. Privacy and Data Protection
Your use of the Software is subject to Cerebra's Privacy Policy, which is incorporated herein by reference. Cerebra processes personal data in compliance with Saudi Arabia's Personal Data Protection Law (PDPL) and NCA standards. All data is stored and processed exclusively within Saudi Arabia.
6. Acceptable Use
Your use of the Software is also subject to Cerebra's Acceptable Use Policy (AUP), which is incorporated herein by reference. You agree to use the Software only for lawful purposes and in a manner consistent with all applicable laws and regulations.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CEREBRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CEREBRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. CEREBRA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE FEES PAID BY YOUR EMPLOYER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term of this EULA. Your employer's subscription agreement with Cerebra governs the overall service relationship. Upon termination, you must cease all use of the Software.
10. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the competent courts of Saudi Arabia.
11. Compliance with Saudi Regulations
You acknowledge that the Software is subject to Saudi Arabia's cybersecurity laws and regulations, including requirements issued by the National Cybersecurity Authority (NCA) and the Personal Data Protection Law (PDPL). You agree to comply with all applicable Saudi laws and regulations in connection with your use of the Software.
